FULL MEMBERSHIP TERMS AND CONDITIONS
Further to the Agreement made between Lifestyle Club Limited (hereafter referred to as the “Club”) and the Member and duly signed by both parties, the requisite parties also agree to the following Full Membership Terms and Conditions (the “Terms and Conditions”).
Please note that Lifestyle Club Limited (company number: 09378569) trades under the trading name 'First Percent Club'.
The purpose of these Terms and Conditions is for the Club to introduce the Member to other members for networking purposes for a period of 12 calendar months commencing on the signature of the Membership Agreement - based on the Member's Profile and subject to the Club's full terms and conditions.
2.1 “Members” shall mean those persons who, after being interviewed, have provided complete Member Profiles, been accepted as Members of the Club and signed a Membership Agreement.
2.2 “Member Profile” shall mean the information provided by the Member during the interview, through the completion of questionnaires or any other relevant and appropriate means with the purpose of creating a collection of data, which can be used by the Club to introduce the Member to other members.
2.3 “Basic Membership Joining Fee” shall mean the annual fee payable by the Member on the signing of the Membership Agreement to become a 'Basic Service' Member.
2.4 “Meeting Arrangement Fee” shall mean the fee to be paid by the 'Basic Service' Member every time during the year he wishes for the Club to arrange a meeting with another member with whom he/she has not previously met.
2.5 “Premium Membership Joining Fee” shall mean the annual fee payable by the Member on the signing of the Membership Agreement to become a 'Premium Service' Member and which then enables the Club to arrange an unlimited number of introductions with Other members for the Member for the entire year.
2.6 “Term” shall mean the period of 12 months commencing on the signature of the Membership Agreement.
2.7 “Office Address” shall mean the registered office of the Club: 95 Mortimer Street, London, W1W 7ST.
2.8 “Email Address” shall mean email@example.com.
3. Rights and Obligations of the Club
3.1 The Club reserves the absolute right and discretion to source and introduce the Member to other club members based on the Member’s Profile – subject to the availability and willingness of other members.
3.2 The Club will apply their absolute best endeavours to introduce the Member to other members by taking into account all relevant preferences; including, but not limited to, occupation, values, physical appearance, character, lifestyle and interests.
3.3 The Club will continue to apply their best efforts to recruit appropriate new members through organised events, activities and networking projects, in order to maintain a steady number of new members.
3.4 On the request of the Member, the Club will make the best use of their skills and resources in order to provide additional services to the Member; including, but not limited to, consulting, chauffeur services, first impression services, coaching, personal shopping experiences, spa and beauty treatments, flower and gift delivery services, travel arrangements including international travel, meeting arrangements including reservations and personal assistant services - provided the appropriate charges have been satisfied.
3.5 The Club reserves the right to refuse membership to any person and, at its sole discretion, may revoke, terminate or suspend the access or membership of any Member for any reason; including, but not limited to, instances of gross misconduct, the provision of inaccurate or misleading information or any other serious breach of any of the Club's terms and conditions.
3.6 Under no circumstances during the Term is the Member authorised or permitted to publish or distribute any information or pictures of or pertaining to any other Members of the Club on any social media, website or public platforms.
3.7 The Club shall reward the Member for the successful referral of any and all new Members of the Club - provided that the individuals referred attend the appropriate interviews and pay the appropriate fees. However, as stipulated in the Membership Agreement signed separately by both parties, the reward shall differ depending on whether the new Member becomes a 'Basic Service' Member or a 'Premium Service' Member.
3.8 Any fees, charges and/or prices stipulated or referred to in these Terms and Conditions currently represent net figures, but are subject to change. The Club reserves the right to amend and/or review the aforementioned fees, charges and/or prices at any time and any such amendments shall be immediately binding upon any new potential Members of the Club.
3.9 The Club reserves the right to amend and/or review any of the provisions and/or Clauses stipulated in these Terms and Conditions at any time and any such amendments shall be immediately binding upon any new potential Members of the Club.
4. Rights and Obligations of the Member
4.1 The Member is required to provide the Club with his full name, full address, date of birth, contact number, email address, nationality and occupation. The Member must also present a proof of ID and proof of address at the initial meeting and prior to his membership acceptance.
4.2 The Member agrees to provide up-to-date, honest and accurate information about themselves in the registration process. If required, the Member agrees to supply a photograph that represents a true likeness of the Member. The photograph must have been taken within the last 6 months of the Member supplying it to the Club.
4.3 If the Member is unable to provide an appropriate photograph, the Member acknowledges that he may be asked to provide consent to the Club to take a photograph of the Member using in-house resources for the purposes of building the Member's Profile. The Member acknowledges that this photograph will be used by the Club strictly for the purposes of carrying out its obligations as set out in these Terms and Conditions
5. Limitation of Liability
5.1 Due to the subjective nature of human interaction, the Club does not guarantee compatibility between the Members.
5.2 The Club strongly discourages the provision of any financial information or other sensitive personal data between the Members, and will not be liable for any losses incurred thereof.
5.3 The Club strictly prohibits the entrance of financial transactions between the Members; including, but not limited to, the offer of payment from the Member to any other members of the Club.
5.4 The Club will not be liable to the Member for any damages or compensation whatsoever.
5.5 The Club will not be liable to the Member for the return of any portion of the fees or any other charges made payable to the Club in any event.
Either party may terminate the signed Membership Agreement without liability at any time, with or without cause, upon the service of 48 hours’ written notice via email (to the email address detailed in the signed Membership Agreement) of the intention to do so.
The Member hereby agrees not to disclose to any third party, directly or indirectly, any information in any form which is explicitly or implicitly sensitive relating to the business or legal affairs of the Club, its Members or any related parties. This shall not prevent proper disclosures of information to the Member's professional advisers or as required by law.
8. Data Protection
8.1 The “sensitive personal data”, (as defined by Section 2 of the Data Protection Act 1998, hereafter referred to as the “Act”) provided by the Member to the Club at any stage whilst this Agreement is in effect, will be used by the Club strictly for the purposes of carrying out its obligation detailed in Clause 1 above. Such data is protected by the Act.
8.2 The only event in which the Club may be required to disclose the Member's data is if the Club is acquired by a third party. Sensitive personal data held about the Member may then be one of the transferred assets.
These Terms and Conditions are non-transferable and non-saleable.
10. Governing Law
These Terms and Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
The parties submit all their disputes arising out of or in connection with these Terms and Conditions to the exclusive jurisdiction of the Courts of England.
